AND CONSUMER PROTECTION ACT

Before Arnie B. Green Associates, Inc. can commence raising funds (equity) from private stakeholders, it will be required to comply with the relevant sections of the Dodd-Frank Wall Street Reform and Consumer Protection Act.

These regulations and rules pertain to soliciting funds from private investors.  Securities and Exchange Commission ("SEC"), state regulators and anti-fraud statutes require solicitations to fully inform investors about all aspects of the business, company, industry, management contracts (e.g. proposed Memorandums of Understanding's ("MOU") and leases) about future prospects, as well as providing certain risk factors involved with investing in a new company.  Private Placement Memorandum's (PPM's) are use for this purpose.
NEED FOR MEMORANDUM OF UNDERSTANDING

A PPM is an offering document, sometimes called a "prospectus", "offering circular", or "PPM's".  The majority of early startups and emerging growth companies commonly raise money through what are know as private placements.  It is simply a sale of stock (or debt) in the company to private investors that become shareholders in the company.

Until there is a potential MOU spelling out the terms and conditions leading to an eventual lease with the City of Ormond Beach, Arnie B. Green Associates, Inc. cannot lawfully ask its investors to invest money into the project.  Further, it is impossible to secure commitments to raise any private equity unless an offering document such as a PPM is finalized to comply with SEC, state regulator requirements and anti-fraud statutes.
